OFFICIAL RULES

NO PURCHASE OR PAYMENT OF MONEY IS NECESSARY TO ENTER OR WIN THIS SWEEPSTAKES.
A purchase or payment of money will not improve the chances of winning.
THIS SWEEPSTAKES IS IN NO WAY SPONSORED, ENDORSED, OR ADMINISTERED BY, OR ASSOCIATED WITH ANY SOCIAL MEDIA PLATFORM, INCLUDING WITHOUT LIMITATION FACEBOOK, INSTAGRAM, TIKTOK, OR TWITTER FROM META (“SOCIAL MEDIA PLATFORM(S)”).

1. SPONSOR

The “TMW OFFROAD Giveaway Sweepstakes” (the “Sweepstakes”) is sponsored by:

(the “Sponsor”).

2. ELIGIBILITY

The Sweepstakes is open to permanent legal residents of the forty-eight (48) contiguous United States and the District of Columbia who are eighteen (18) years of age or older (or the age of majority in their state of residence) (whichever is higher) at the time of entry (each, an “Entrant”). The Entrants who are selected as the grand prize winners(each, a “Grand Prize Winner”), must have a unique, personal and valid social security number for Sponsor (defined below) to report the tax liability associated with acceptance of the grand prize (“Grand Prize”). Valid social security numbers will be determined by IRS requirements as further defined in the “PRIZE CLAIMS” section of these Official Rules. Employees and their immediate family members (parents, children, siblings or spouse, regardless of where they live, or persons living in the same household, whether related or not) of Sponsor, and each of its respective parent companies, divisions, affiliates, subsidiaries, distributors, advertising and agencies, and any others engaged in the development, production, execution or distribution of this Sweepstakes, including but not limited to National Sweepstakes Company, LLC (the “Independent Administrator”) (all of the aforementioned collectively referred to as the “Sweepstakes Entities”), are not eligible to participate. The Sweepstakes is subject to all federal, state, and local laws and regulations and is void in Puerto Rico, New York, Florida, outside the remaining forty-eight (48) contiguous United States and the District of Columbia and wherever else restricted or prohibited by law. By entering this Sweepstakes, Entrants indicate their full and unconditional agreement to, and acceptance of, these Official Rules and the decisions of the Sponsor and/or Independent Administrator, which are final and binding in all respects. Winning the Grand Prize is contingent upon fulfilling all requirements set forth herein.

Employees of the Sponsor, its parent companies, subsidiaries, affiliates, advertising and promotional agencies, and their respective officers, directors, employees, and immediate families (including spouse, biological, adoptive, and step-parents, grandparents, siblings, children, grandchildren, and their respective spouses) are NOT eligible to participate.

Void where prohibited or restricted by law.

3. AGREEMENT TO OFFICIAL RULES

By participating, Entrants agree to abide by and be bound by these Official Rules and the decisions of the Sponsor, which are final and binding in all matters relating to the Sweepstakes. Winning the Prize is contingent upon fulfilling all requirements set forth herein.

4. HOW TO ENTER

The Sweepstakes begins at 12:00:01 a.m. MST on February 25, 2025, and ends at 11:59:59 p.m. MST on July 31, 2025 (the “Sweepstakes Period”). The Sponsor’s computer is the official time-keeping device for the Sweepstakes.

A. Online Purchase Entry

  • Eligibility: During the Sweepstakes Period, Entrants who make a purchase through the Sponsor’s online shop at www.tmwoffroad.com (the “Website”) will automatically receive two (2) entries into the Sweepstakes for each one (1) whole dollar spent.

  • Calculation: The number of entries received will be based on the pre-tax amount of your eligible purchase excluding shipping and handling charges, less any discounts.

B. Mail-In Entry

  • Entry Method: Entrants can obtain Sweepstakes entries by legibly hand-printing, on a 3”x 5” card or paper, their full name, complete mailing address, phone number, date of birth, and a valid email address.

  • Submission: Mail the card in a #10 business-sized envelope, with proper postage affixed, to:

  • Each mail-in entry received will be worth ten (20) Sweepstakes entries. Additionally, Entrants may include handwritten multipliers as specified during promotional periods (see Section D below).  You may submit as many postal entry requests as you wish (up to 10 entries applied), but each request must be mailed separately. All entries must received by July 31st, 2025.

C. Purchases and Bonus Entries

Basic Entries:

  • One (1) Entries per One (1) Dollar Spent: For every one (1) whole dollar spent on eligible purchases through the Sponsor’s online shop at www.tmwoffroad.com, Entrants will automatically receive one (1) Sweepstakes entries.

  • Calculation: The number of entries is based on the pre-tax amount of your eligible purchase excluding shipping and handling charges, less any discounts.

Promotional Bonus Entries:

  • Exclusive Promotional Periods: During specific promotional periods announced on the Sponsor’s Website, Entrants may have the opportunity to earn additional bonus entries based on their purchase amounts or specific product bundles.

Bonus Entry Offers:

  • Example Offers:
    • $49.99 or More Purchase: 100 bonus entries
    • $79.99 or More Purchase: 200 bonus entries
    • $100 or More Purchase: 250 bonus entries

How to Qualify:

  1. Handwritten "Bonus Entry": Entrants must explicitly handwrite the words "Bonus Entry" on the lower left-hand side of their mail-in entry envelope to qualify for these bonus entries during promotional periods.

  2. Postmark and Receipt: Ensure that your mail-in entry is postmarked within the promotional period and received by the Sponsor within 5 days of the promotion period’s deadline.

D. Multipliers and Exclusive Promotions

Throughout the Sweepstakes Period, the Sponsor may announce opportunities on the Website to earn multiple entries based on total purchase amounts or specific product bundles. To receive multiple entries via mail-in, Entrants must:

  1. Handwrite the Corresponding Multiplier Code:

    • Examples of Multiplier Codes:
      • "MULTIPLE-10X"
      • "MULTIPLE-20X"
      • "MULTIPLE-25X"
      • "MULTIPLE-30X"
      • "MULTIPLE-50X"

  2. Placement: Handwrite the corresponding multiplier code on the lower left-hand side of the front of the envelope during the specified promotional periods.

  3. Clear Communication: The multipliers and corresponding codes will be clearly communicated on the Sponsor’s Website during each promotional opportunity.

E. No Cap on Entries

There is no limit to the number of Sweepstakes entries an Entrant can submit, provided all entry methods are followed correctly.

F. Fraudulent Activity

ANY FRAUDULENT ACTIVITY IN CONNECTION WITH THIS SWEEPSTAKES IS STRICTLY PROHIBITED.
It is fraudulent to purchase items to obtain entries with the intent to return these items after the Sweepstakes ends.

  • Consequences: If the Sponsor identifies or suspects that you are engaged in this or any other fraudulent activity, you will be disqualified and banned from any further Sweepstakes offered by the Sponsor.

  • Entry Requirements: Each entry must provide all requested information. Automated entries or entries submitted through unauthorized third parties are void.

5. GENERAL CONDITIONS

If for any reason the operation or administration of this Sweepstakes is impaired or incapable of running as planned, including but not limited to:

  1. Computer virus, bugs
  2. Tampering, unauthorized intervention
  3. Fraud
  4. Technical failures
  5. Any other causes beyond the Sponsor’s control

The Sponsor reserves the right, at its sole discretion, to:

  • Disqualify any individual who tampers with the entry process
  • Cancel, terminate, modify, or suspend the Sweepstakes in whole or in part, at any time, without notice
  • Award the Prize using all non-suspect eligible entries received up to that date

ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS.
THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE TO THE FULLEST EXTENT PERMITTED BY LAW.

Failure by the Sponsor to enforce any provision of these Official Rules shall not constitute a waiver of that provision.

SCAM ALERT

The Sponsor, TMW OFFROAD LLC, will never ask for payment, credit card information, or any other financial details as a condition of receiving a prize.
If you receive a phone call, email, letter, or direct message on social media claiming that you have won a prize and requesting payment or personal information, it is a SCAM.

  • Action: Do not provide any personal or financial information to such solicitations.

**If you believe you have been targeted by a scam related to this Sweepstakes, please report it to the Federal Trade Commission (FTC) at www.ftc.gov or by calling 1-877-382-4357.

6. RELEASE AND LIMITATIONS OF LIABILITY

By participating in the Sweepstakes, Entrants agree to release and hold harmless the Released Parties (defined below) and Social Media Platforms from and against any claim or cause of action arising out of participation in the Sweepstakes or receipt or use of any Prize, including but not limited to:

  1. Technical errors that may prevent an Entrant from submitting an entry
  2. Unauthorized human intervention in the Sweepstakes
  3. Printing errors
  4. Administrative errors
  5. Injury, death, or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from Entrant’s participation in the Sweepstakes or receipt of the Prize

Released Parties are not responsible for any technical malfunctions or problems, including but not limited to telephone network issues, computer equipment failures, software issues, or internet traffic congestion. Released Parties are not responsible for any lost, late, incomplete, incorrect, or undelivered entries.

Limitation of Liability: Released Parties’ liability shall be limited to the cost of entering and participating in the Sweepstakes. Entrants waive the right to claim any damages whatsoever, including punitive, consequential, direct, or indirect damages.

PUBLICITY RELEASE

By accepting the Prize, the Winner grants TMW OFFROAD LLC and its affiliates the right to use their name, likeness, image, voice, and biographical information for advertising, marketing, and promotional purposes without any further compensation, unless prohibited by law. This includes the right to publish, broadcast, or distribute this information worldwide in any media now known or hereafter developed.

7. DRAWING AND NOTIFICATION

  • One (1) Grand Prize Winner will be selected in a random drawing. For the drawing, one (1) Grand Prize Winner will be selected from among all eligible entries received during the Sweepstakes Period.

  • Selection: The potential Winner will be selected in a random drawing conducted by the Administrator.

  • Date: The Prize drawing will be conducted on or about August 5th, 2025.

  • Odds: Odds of winning depend on the total number of eligible entries received.

  • Notification: The potential Winner will be contacted by the Sponsor via email and/or phone within five (5) business days following the drawing.

  • Alternate Winner: If the Winner cannot be contacted or does not respond within seven (7) days of notification, the Sponsor reserves the right to select an alternate Winner.

8. GRAND PRIZE

There will be one (1) Grand Prize available. The Grand Prize Winner (“Winner”), upon the Administrator’s confirmation of eligibility, will receive:

  • Fully Built 2025 Polaris PRO R 4 Ultimate By TMW OFFROAD
  • $20,000 Cash

Total Approximate Retail Value (ARV): $143,000 USD

Prize Details:

  • ARV Determination: The value of the Prize represents the Sponsor’s good faith determination of the ARV and such determination is final and binding. If the actual value of the Prize is lower than the stated ARV when the Prize is procured and fulfilled, the difference will not be awarded.

  • Expenses: All expenses associated with Prize acceptance or usage not specifically mentioned herein are the responsibility of the Winner.

  • Delivery: The Prize will be delivered to the Winner “AS IS.” Any upgrades or other options are at the sole expense of the Winner.

  • Tax Obligations: The Winner is solely responsible for all federal, state, and local taxes associated with the receipt of the Prize. An IRS Form 1099 will be filed in the name of the Winner for the value of the Prize. Failure to pay applicable taxes may result in forfeiture of the Prize.

  • Non-Transferable: The Prize cannot be substituted, assigned, or transferred to any other person or entity, except by the Sponsor, who reserves the right to substitute the Prize with another of equal or greater value at its sole discretion.

Winner Responsibilities:

  • Proof of Identification:
      • The Winner must provide proof of a valid USA driver’s license from their state of residence to take delivery of the vehicle. Failure to show the license may result in Prize forfeiture and the selection of an alternate Winner.

  • Additional Costs:

    • The Winner is responsible for all optional equipment, title, license, insurance, and registration fees required in claiming the vehicle, applicable taxes, as well as all other expenses relating to the use of the vehicle, including any travel and transportation costs associated with collecting the vehicle.

  • Title Transfer:

    • The Winner must transfer the title officially with their state DMV within ten (10) days of accepting the Prize.

  • Insurance Proof:

    • The Winner may be required to show proof of insurance prior to taking delivery and picking up the vehicle as directed by the Sponsor.

  • No Substitution or Transfer:

    • The Prize cannot be substituted or transferred, except by the Sponsor, who reserves the right at its sole discretion to substitute the Prize with another Prize of equal or greater value.

  • Prize Condition:

    • The Prize will be delivered to the Winner “AS IS.” Any upgrades or other options are at the sole expense of the Winner. The Winner acknowledges that the Sponsor has not made nor is in any manner responsible for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to any prize offered in the Sweepstakes, including but not limited to its quality, mechanical condition, or fitness for a particular purpose.

  • Prize Value:

    • The value of the Prize set forth above represents the Sponsor’s good faith determinations of the ARV (Actual Retail Value) thereof, and such determinations are final and binding and cannot be appealed. If the actual value of the Prize is lower than the stated ARV when the Prize is procured and fulfilled, then the difference will not be awarded.

  • State/County Requirements:

    • The Prize vehicle may not meet safety or emissions testing required in some states and/or counties. The Winner is responsible for checking their state/county for applicable emissions requirements and safety inspection requirements prior to accepting the Prize and must use the vehicle in accordance with those regulations.

  • Other Expenses:

    • All other expenses associated with Prize acceptance or usage not specifically mentioned herein are the responsibility of the Winner. This includes any travel and transportation costs related to collecting the vehicle.

No Substitution or Transfer:
The Prize cannot be substituted or transferred, except by the Sponsor, who reserves the right at its sole discretion to substitute the Prize with another Prize of equal or greater value.

9. ADDITIONAL Prize Conditions

By accepting the Prize, the Winner agrees to:

  1. Release and Hold Harmless: Release and hold harmless the Released Parties from any claim or cause of action arising out of participation in the Sweepstakes or receipt or use of the Prize.

  2. Affidavit of Eligibility: Sign and return to the Administrator, within seven (7) days of the date of notice or attempted notice, an Affidavit of Eligibility, Liability & Publicity Release to claim the Prize. The Affidavit will require the Winner to provide their Social Security Number to the Administrator for tax reporting purposes.

  3. Tax Responsibilities: Acknowledge that the Prize is taxable as income and agree to report it accordingly. The Sponsor is not responsible for any taxes owed by the Winner.

  4. Prize Acceptance: Complete all required documentation within seven (7) days of notification. Failure to do so will result in disqualification and selection of an alternate Winner. The Prize must be accepted by providing valid identification and proof of residency as specified in these Official Rules.

Publicity Release:

By accepting the Prize, where permitted by law, the Winner grants to the Released Parties the right to print, publish, broadcast, and use worldwide in all media without limitation their full name, portrait, picture, voice, likeness, and/or biographical information for advertising, trade, and promotional purposes without further payment or additional consideration.

10. DISPUTES

Dispute Resolution, Mandatory Arbitration, and Choice of Law/Jurisdiction:

All issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules or the rights and obligations of Entrants, Administrator, and Sponsor in connection with the Sweepstakes shall be governed by and construed in accordance with the laws of the State of Arizona, without giving effect to any choice of law or conflict of law rules that would cause the application of any other jurisdiction’s laws.

DISPUTES:

By entering the Sweepstakes, Entrants agree that:

  1. Individual Resolution: Any and all disputes, claims, and causes of action arising out of or connected with the Sweepstakes, or any prizes awarded, shall be resolved individually, without resort to any form of class action.

  2. Limitation of Claims: Any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Sweepstakes but in no event attorneys' fees.

  3. Waiver of Damages: Under no circumstances will any Entrant be permitted to obtain any award for, and Entrant hereby waives all rights to claim, punitive, incidental, or consequential damages and any and all rights to have damages multiplied or otherwise increased and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.

Governing Law and Jurisdiction:

All issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules, or the rights and obligations of the Entrants and Sponsor or the Released Parties in connection with the Sweepstakes, shall be governed by, and construed in accordance with United States law and the law of California.

Legal Proceedings:

Any legal proceedings arising out of this Sweepstakes or relating to these Official Rules shall be instituted only in the federal or state courts of Los Angeles, California, and Entrants, and the parties consent to jurisdiction therein with respect to any legal proceedings or disputes of whatever nature arising under or relating to these Official Rules.

Severability:

The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.

Class Action Waiver:

Entrant agrees that it will not file a class action or collective action against the Promotion Entities, and that entrant will not participate in a class action or collective action against them. Entrant agrees that it will not join its claims to those of any other person.

Arbitration Clause:

Notwithstanding any other provision in the Official Rules, or the Privacy Policies, if this class action waiver is adjudicated to be invalid by a court of competent jurisdiction, then the agreement to arbitrate is null and void, as though it were never entered into, and any arbitration dispute at that time will be dismissed without prejudice and may be refiled in court.

Entrants irrevocably consent to the sole and exclusive jurisdiction of the state or federal courts of the State of Arizona located in the county of Maricopa for any action, suit or proceeding arising out of or relating to this Promotion/Sweepstakes/Giveaway. Under no circumstances does entrant or the Promotion Entities agree to class or collective procedures in arbitration or the joinder of claims in arbitration.

The provisions of this Dispute Resolution Section shall survive conclusion, modification or termination of the Promotion and suspension, revocation, closure, modification, or amendments to the Official Rules, and any aspect of the relationship of entrant or the Promotion Entities relating to or arising from participation in the Promotion.

11. SEVERABILITY

If any provision of these Official Rules is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

12. MISCELLANEOUS

  • Complete Agreement: These Official Rules constitute the complete and exclusive agreement between the Sponsor and Entrants with respect to the Sweepstakes and supersede all prior agreements, understandings, representations, and warranties, whether oral or written.

  • Headings: Headings in these Official Rules are for convenience only and do not affect the interpretation of these Rules.

  • Amendments: No amendment to, or waiver of, any provision of these Official Rules shall be effective unless in writing and signed by the Sponsor.

  • Use of Data: Participating in the Sweepstakes and providing your email address or any other applicable contact information, Entrants hereby agree to Sponsor’s collection and usage of their personal information and acknowledge that they have read and accepted Sponsor’s Privacy Policy.

Liability Release: By participating, Entrants release and agree to hold harmless the Released Parties from any and all liability for any injuries, death, or losses or damages to persons or property AS WELL AS CLAIMS/ACTIONS BASED ON PUBLICITY RIGHTS, DEFAMATION, AND/OR INVASION OF PRIVACY that may arise from participating in this Sweepstakes or its related activities or the acceptance, possession, use, or misuse of, or any harm resulting from the acceptance, possession, use, or misuse of the Prize. The Grand Prize Winner also acknowledges that Released Parties have neither made nor are in any manner responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to the Prize.

13. WINNERS LIST REQUEST

To request confirmation of the Winner’s name, city, and state of residence, please send a self-addressed, stamped business-size envelope by August 15, 2025 to:

14. NOTICES

This Sweepstakes is not in any manner sponsored, endorsed, administered by, or associated with any social media platform, including but not limited to Facebook, Instagram, or Twitter.

Released Parties: Sponsor, its parent companies, subsidiaries, affiliates, distributors, sales representatives, advertising and promotional agencies, and their respective officers, directors, employees, and agents.

By participating in this Sweepstakes, Entrants consent to the collection, use, and disclosure of their personal information as outlined in Dialed Industries LLC’s Privacy Policy, available at www.dialed.industries/privacy-policy. Entrants agree that their information will not be sold or shared with third parties, except as required by law.
